Terms of Service

These Terms of Service ("Terms") govern your access to and use of Futurity's products, services, applications, and platforms ("Futurity Services"). By accessing or using Futurity Services, you acknowledge that you have read, understood, and agreed to be bound by these Terms. If you do not agree, you must not access or use Futurity Services.

For the purpose of these Terms:

1. Futurity refers to Futurity Technologies PTE. LTD, a company incorporated under the laws of the Republic of Singapore.
2. User refers to any individual or entity who accesses or uses Futurity Services.
3. Content refers to any data, text, images, videos, audio, code, or other material transmitted, uploaded, or stored through Futurity Services.
4. Third-Party Services refers to services, products, or platforms provided by entities other than Futurity, which may be integrated with or accessible through Futurity Services.

You may use Futurity Services only if you:

1. Are at least 18 years old or the legal age of majority in your jurisdiction; and
2. Have the legal capacity to enter into a binding agreement; and
3. Are not prohibited from using Futurity Services under applicable laws.

When using Futurity Services, you agree to:

1. Provide accurate, complete, and up-to-date information when required.
2. Use Futurity Services only for lawful purposes.
3. Not engage in any activity that may harm, disrupt, or interfere with the security, functionality, or integrity of Futurity Services.
4. Comply with all applicable local, national, and international laws and regulations.

In addition to the obligations above, you agree not to:

• Use AI features to generate spam, malware, phishing content, deepfakes, or non-consensual intimate imagery.
• Attempt to extract, reconstruct, or reverse-engineer training data from AI models.
• Circumvent content moderation, safety filters, rate limits, or other usage restrictions.
• Use the service to make automated decisions with legal or significant effects on individuals without appropriate human oversight.
• Share account credentials, API keys, or access tokens with unauthorised parties.
• Use the service in any way that violates applicable laws or infringes third-party rights.

Violation of this policy may result in immediate suspension or termination of your account.

1. All intellectual property rights in Futurity Services, including but not limited to software, algorithms, designs, and content created by Futurity, remain the exclusive property of Futurity or its licensors.
2. You are granted a limited, non-exclusive, non-transferable, revocable license to use Futurity Services in accordance with these Terms.
3. You must not copy, modify, reverse-engineer, distribute, or create derivative works from Futurity Services without prior written consent from Futurity.

1. You retain ownership of any content you submit or upload to Futurity Services.
2. By providing content, you grant Futurity a worldwide, non-exclusive, royalty-free license to use, reproduce, process, adapt, transmit, and display such content solely as necessary to provide, maintain, and improve Futurity Services. This license does not permit Futurity to sell your content, share it with third parties except as needed to provide the service (e.g., transmitting prompts to AI providers), or use it to train AI models. This license terminates when you delete your content or close your account, except where retention is required by law.
3. You represent and warrant that your content does not infringe any third-party rights or violate any laws.

Futurity provides AI-assisted features powered by third-party AI model providers. By using these features, you acknowledge that:

1. AI outputs may be inaccurate. AI-generated content may contain errors, omissions, or misleading information. You are responsible for reviewing and verifying all AI outputs before relying on them for any purpose.
2. No guarantee of specific providers. Futurity may change AI model providers at any time without notice. We do not guarantee the availability of any specific model.
3. Rate limits and fair use. AI features are subject to usage limits. Excessive or abusive usage may result in temporary throttling or suspension.
4. Content moderation. AI providers may impose content moderation policies that restrict certain types of prompts or outputs. Futurity is not responsible for content filtered or refused by AI providers.
5. No training on your data. Futurity does not use your content to train AI models. Prompts are sent to third-party providers solely to generate responses.

If you access Futurity Services through our API or OAuth integrations:

1. API keys are confidential. You are responsible for keeping your API keys and access tokens secure. Any activity under your API credentials is your responsibility.
2. Rate limits apply. API access is subject to rate limits and fair-use quotas. We may throttle or suspend access that exceeds these limits.
3. Same terms apply. API access is subject to all the same terms as access through the web interface, including the Acceptable Use policy.
4. Changes and deprecation. We may modify, deprecate, or discontinue API endpoints with reasonable notice (at least 30 days for breaking changes where feasible).
5. Revocation. We may revoke API access for abuse, security concerns, or violation of these Terms.

Futurity Services may integrate with or contain links to Third-Party Services. Futurity is not responsible for the content, policies, or practices of these third parties. Your use of Third-Party Services is subject to their respective terms and privacy policies.

1. Futurity Services are provided on an "as is" and "as available" basis without warranties of any kind, either express or implied.
2. Futurity does not warrant that:
   1. Futurity Services will be uninterrupted, secure, or error-free;
   2. Any defects or errors will be corrected; or
   3. The results obtained from using Futurity Services will meet your expectations or requirements.

Futurity Services are not designed or intended to comply with industry-specific regulations including, but not limited to, HIPAA (healthcare), PCI DSS (payment card data), SOX (financial controls), or FISMA (federal information security). You are responsible for determining whether Futurity Services are appropriate for your regulatory requirements.

To the maximum extent permitted by applicable law:

1. Futurity shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or goodwill, arising from your use or inability to use Futurity Services.
2. Futurity's total liability for any claim under these Terms shall not exceed the amount you have paid (if any) to Futurity in the past twelve (12) months for the specific Futurity Service related to the claim.

By You

You may close your account at any time through your account settings or by contacting us. Before closing your account, you may export your data using the export functionality in your account settings.

By Futurity

Futurity may suspend or terminate your access:

• Immediately for violation of these Terms, fraudulent activity, or conduct that threatens the security or integrity of the service.
• With 30 days' written notice for any other reason, including discontinuation of the service.

Effect of Termination

Upon termination:

• Your right to use Futurity Services ceases immediately.
• You will have 30 days from the date of termination notice to export your data.
• After the export period, your data will be deleted in accordance with our data retention policy.
• Provisions that by their nature should survive (including Intellectual Property, Limitation of Liability, Governing Law, and Indemnification) will survive termination.

1. These Terms shall be governed by and construed in accordance with the laws of the Republic of Singapore, without regard to its conflict of law principles.
2. Any disputes arising out of or in connection with these Terms shall be resolved amicably. If no resolution is reached within thirty (30) days, disputes shall be submitted to the jurisdiction of the courts of Singapore.

We may update these Terms from time to time. For material changes, we will provide at least 30 days' advance notice via email or in-app notification before the changes take effect. Non-material changes (e.g., typographical corrections) may take effect immediately upon posting.

If you do not agree with the updated Terms, you may close your account before the changes take effect. Continued use after the effective date constitutes acceptance.
